A CONSTITUTION OF UN CHAPTER AMUCTA


1.    NAME
The name of the Association is UN-CHAPTER AMUCTA.
2.    INTRODUCTION
UN CHAPTERS;
2.1       UN Chapter AMUCTA is established in a respective university college of St. Augustine University of Tanzania (SAUT) under YUNA Constitution.
2.2       According to YUNA Constitution, a UN Chapters falls under the category of ordinary members (are Founder members, UN clubs/Chapters and youth organizations who/which affirm to YUNA constitution). UN Chapters are small associations formed by youth, mainly in high learning institutions students, to function as focal point linking YUNA with youth in the college and universities setting all over Tanzania. Hence UN Chapters are voluntary small association by students in high learning institution, aimed at enhancing their awareness on the work of United Nations. The Chapter offer students an opportunity to plan and actively to participate in various UN priority issues and make a positive contribution to development of the community.
2.3       Through UN Chapters, all youth in colleges and universities setting in all region of Tanzania have the opportunity to get close to the idea and principles of UN. In the UN Chapters, every member matters. Every member is expected to be an active and equal partner in the initiatives to ensure better lives for youth in Tanzania. In that respect, YUNA shall provide technical and resources assistance where possible ensure the UN Chapter implement activities towards this realization.
2.4       The establishment of UN Chapter will have great impact on young people all over the Tanzania and enable young people to engage with the UN. UN Chapter presents an opportunity to coordinate and reach young people through a single structure they recognize and identify with. The drive behind the UN Chapter is to ensure the objectives of YUNA-Tanzania are implemented through educational institutions in the country.
2.5       joining a UN Chapters help young as an individual to identify themselves as part of a certain group or cluster. Besides that, young people have already established and running UN Chapters in their learning institutions get to be part of the following;
            a)         Learning about the UN an global issues,
            b)         Getting involved in the UN and other international organizations,
c)         Participating in various trainings, workshops and conferences in and outside the     country,
d)         The chance to serve the community through a number of programs,
e)         The knowledge and experience is worth in developing an individual career.

3.    Mission Statement

As members of the YOUTH OF UNITED NATIONS ASSOCIATION OF TANZANIA (YUNA-TZ) we shall strive to promote activities that will facilitate attainment of the association’s objective of UNITED NATIONS (UN).

4.    OBJECTIVES
The objectives of the Association are:
4.1        To expose youth in different socio-economic affairs so as to create youth as a good fundamental factor for positive change.
4.2        To impart knowledge to the youths about UN and global issues
4.3        To create chance for the youth to serve the society through numbers of programs designed by the United Nations (UN) and chapter.
4.4        To involve youth in UN and other association/organizations like WHO, ILO, UNDP and so many other agents of UN found in Tanzania and elsewhere.
4.5        To unite youth, join their power and ideas to fight against poverty, diseases in our local areas and national at large.
4.6        To promote environmental sustainability in our local areas and national at large.

5.    POWERS OF THE ASSOCIATION
In furtherance of the objects but not otherwise the Executive Committee may exercise the following powers;
5.0  to raise funds and to invite and to receive contributions provided that in raising funds the Management Committee shall not undertake any substantial permanent trading activities and shall conform to any relevant requirements of the law;
5.1  power subject to any consent required by law to sell, lease or dispose of all or any part of the property of the Club;
5.2  to co-operate with other clubs, voluntary bodies and statutory authorities engaged in furtherance of the objects and to exchange information and advice with them;
5.3  to support any charitable trusts, associations or institutions formed for all or any of the objects;
5.4  To invest its money –
(i) In any security in which trust moneys may be invested; or
(ii) In any other manner authorized by the rules of the Association;
5.5  Accept donations and gifts in accordance with the objects of the Association;
5.6  Print and publish any information by any media including newsletters,
5.7  newspapers, articles or leaflets for promotion of the Association;
5.8  Provide gifts and prizes in accordance with the objects of the Association;
5.9  Organize social events for Members and the promotion of the Association

6.    Membership

6.0  Membership of the Chapter shall be open to AMUCTA students with not exceeding the age of 30 year old and who are interested in furthering the objectives of the Chapter and who have paid the required subscription as fixed from time to time by the Members present at the annual general meeting or any extra ordinary meeting called specifically for that purpose.
6.1  Any person seeking membership shall make application to the Management Committee, and the Management Committee shall determine whether the application is successful or not.
6.2  Each person admitted to membership shall be;
6.2.1       Bound by the Constitution and by-laws of the Association.
6.2.2       Come liable for such fees and subscriptions as may be fixed by the Association.
6.2.3       Entitled to all advantages and privileges of membership.

6.3  The Management Committee may suspend or terminate the membership of any member provided that:
6.3.1       At least (14) fourteen days prior written notice is given to all members of the Management Committee of the intention to suspend or terminate a membership; and at least (14) fourteen days prior written notice is given to the concerned member.
6.3.2       The notice shall give the reasons for the decision of suspension or termination with respect to membership and invite the member to make written or verbal representations to the meeting, as the member may consider appropriate.
6.3.3       The decision of the Management Committee to admit an applicant to membership, or to suspend or terminate a membership shall lapse unless confirmed by a resolution of two thirds of the members of the Association present at the next General Meeting.

7.     The Executive Committee
7.0  Powers :
7.0.1       The affairs of “The Association” shall be controlled and managed by the Management Committee. Subject to the terms of this constitution and to the resolutions of members in General Meeting, the Management Committee may exercise all the powers of the Association.
7.0.2       In General Meeting, the Association may review, approve or amend any decision taken by the Management Committee but no such resolution of the Association shall invalidate any prior action taken by the Management Committee in accordance with the provisions of this Constitution.

7.1  Members of the Management Committee :
7.1.1       The members of the Management Committee shall be the founding members referred to in the attached Schedule C for their lifetime. Their respective function will be fixed at the General Meeting at which this Constitution is adopted and maintained until the first Annual General Meeting after such adoption, when the different functions might be re-examined, redefined; reassigned or maintained. Thereafter, the functions of each Management Committee’s member shall be re-examined, redefined, maintained or reassigned at each succeeding Annual General Meeting.
7.1.2       Upon death, resignation, removal or any other cause as mentioned in paragraph 4.1 of this article, the Management Committee members shall be replaced by election or cooption.
7.1.3       Management Committee members shall be members of the Association.

7.2  Composition:
The Management Committee shall comprise at least 7 but not more than 10 members. The membership of the Management Committee shall comprise:
                             i.        The Chairperson;
The chairperson of UN Chapter shall;
a.     Chairs the meeting of the chapter,
b.     Be the speaks person of the UN Chapter,
c.     Supervises the management of the UN Chapter in general,
d.     Any other duties incidental to the chapter
                            ii.        Vice-chairperson
Shall be an assistant to the chair person and act in that capacity in the absence of the chairperson
                           iii.        The Secretary
The Secretary of UN Chapter shall;
a.     Issues notes of the meeting and prepare agendas,
b.     Records and keeping minutes and other documents of the UN Chapter,
c.     Control day to day activities of the UN Chapter,
d.     Prepare the annual report of UN Chapter and present the annual calendar as prepared by UN Chapter Executive committee.
e.     Keeping financial records,
f.      Shall perform any other duties incidental to the office or as directed by the chairperson or executive committee.
                           iv.        The Treasurer;
A treasurer will handles all financial activities and keep records, and account for the financial expenditure of the UN Chapter.
                            v.        The Management Committee may co-opt up to 2 additional nonvoting members, as it may consider appropriate from time to time. The co-opted members shall serve for such period, as the Management Committee considers appropriate.
                           vi.        Chief Information Officer (CIO);
Chief Information Officer will be responsible for conveying information to respective person.
                         vii.        Project manager.
Will be the responsible for all projects planned by the UN Chapter AMUCTA.

7.3  Management Committee Member Vacating Office
7.3.1 The office of a Management Committee member shall be vacated if a member:
                              i.        Resigns, especially in accordance with the article 2.2 of the Code of Ethics; or
                             ii.        Dies or becomes unfit and/or incapable of acting as such; or
                            iii.        Would be disqualified or removed by the Management Committee, by resolution adopted by at least two-thirds (2/3) of its members in office from time to time, being not less than the required minimum number. The Management Committee shall not be obliged to furnish reasons for its decision(s) regarding removal except to the member removed and to the members of ‘The Association’ in General Meeting.
7.3.2      Should a position on the Management Committee fall vacant, the Management Committee, by resolution adopted by at least two-thirds (2/3) of its members, may (and if the vacancy reduces the number of members to less than the minimum required, shall) co-opt a member(s) to fill the vacancy (ies). The office of any person so co-opted as member of the Management Committee shall lapse unless confirmed by resolution of members at the Management Meeting.

8.    FINANCIAL MATTERS
8.0  Source and Management of Funds
Whenever necessary and or possible the UN-CHAPTER AMUCTA shall derive funds from;
a.     Membership fees
b.     The college or university administration
c.     Any private donors or Local Government Authorities of their choice. And if the Chapter seeks funding at the National level they should inform YUNA-TANZANIA well in advanced application, YUNA may also provide assistance in fundraising whenever possible.
d.     Voluntary contributions from members and supportive associations.
e.     Through projects planned by the Chapter.
8.1  Bank Account
The Management Committee shall open a bank account in the name of “The Association” with a registered Bank or Building Society. The Management Committee shall ensure that all monies received by “The Association” are deposited in the abovementioned bank account as soon as possible after receipt.
8.2  Signatures
All cheques, promissory notes and other documents requiring signature on behalf of “The Association” shall be signed by three (3) of the Management Committee members (Chairperson, Secretary, and Treasurer)
8.3  Financial Year End
The Association’s financial year-end shall be before 31st  December in every year.
8.4  Financial Records
The Management Committee shall ensure that “The Association” keeps proper records and books of account, which fairly reflect the affairs of “The Association”.

8.5  Annual Narrative Report and Financial Statements
 8.5.1       The Management Committee shall ensure that “The Association” prepares an annual narrative report describing the Association’s activities and an Annual Financial Statement for each financial year. The Annual Financial Statements shall conform to, generally accepted accounting principles and shall include a statement of income and expenditure and a balance sheet of assets and liabilities.
8.5.2       Within two (2) months after drawing up the Annual Financial Statements, the Management Committee shall ensure that: “The Association” arranges for an accounting officer to certify that the annual financial statements are consistent with the financial records of the Association and that its accounting policies are appropriate and have been appropriately applied in the preparation of its financial statements.
8.5.3        A copy of the Annual Financial Statements and annual narrative report shall be made available to all members as soon as possible after the close of the financial year.
